This Important Information and these Terms and Conditions of Use (together, the "Agreement") relate to how you use the Go Zazoo Ltd ("Go Zazoo") platform and services (the "Zazoo Services") in conjunction with the electronic money services provided by FinXP. Note that FinXP products and services may be subject to separate terms and conditions that govern their use, which you will be required to accept directly with FinXP.
These Terms and Conditions govern your use of the Zazoo Services as defined hereunder. By using the Zazoo Services, you confirm that you accept all of the terms and conditions contained in this Agreement. We therefore ask you to read the following Important Information and Terms and Conditions carefully.
Key Definitions
- 'You' or 'your' are references to any person, whether legal or natural, using the Zazoo Services.
- 'We', 'us', 'our', or "Zazoo" are references to Go Zazoo Ltd.
- 'FXP' or the 'EMI' are references to FinXP Ltd, our licensed electronic money institution partner.
- 'Products' are references to the alternative delivery products offered through the Zazoo Services in conjunction with FinXP's payment services.
- 'Account' or 'Accounts' are references to any electronic money account(s) held by FinXP in your name.
Important Notice
Go Zazoo Ltd operates as a technical platform facilitating access to electronic money and payment services. Electronic money accounts and payment services are provided by FinXP Ltd (Licensed Electronic Money Institution, Company registered in Malta - Registration number: C 65783, Registered office: Ardent Business Centre 4, Oratory Street, Naxxar NXR 2505 Malta, Licensed and regulated by the Malta Financial Services Authority (MFSA)). Go Zazoo Ltd is not a bank or an Electronic Money Institution.

1. Commencement, Term and Your Online Payment Account
Account Commencement
These Terms shall commence on the day that FinXP confirms to you via a Zazoo branded Email and/or Mobile App that your Payment Account has been approved and shall continue until terminated in accordance with Clause 4. The FinXP Payment Account can only be utilized as an online account.
Account Usage
Your Payment Account is an account to receive and send money/funds. The funds in the Payment Account may be used by you via the FinXP Internet Banking Website. You may be required to provide supplemental information to FinXP in order to be able to use all of the functions available.
2. Eligibility
Age and Residency Requirements
To be eligible to use the Zazoo Services and FinXP's services under this Agreement, you must be at least 18 years old or older depending on the age of majority in your jurisdiction. You must list your correct country/region of residence in your Account.
Account Information Requirements
In order to open and maintain an Online Payment Account, you must provide FinXP with correct and updated Information through the Zazoo Services. It is your responsibility to keep your email address up to date so that FinXP can communicate with you electronically.
Updating Your Information
You can update your primary email address or street address at any time by logging into the FinXP online banking and sending a request to update the registered email address via the internal messaging system. If your email address becomes invalid such that electronic Communications sent to you by FinXP are returned, FinXP may deem your Account to be inactive.
3. Identity Verification
You authorize FinXP, directly or through third parties (including Go Zazoo as its technical platform provider), to make any inquiries FinXP considers necessary to validate your identity. This may include asking you for further information or documentation, requiring you to provide a taxpayer or national identification number, requiring you to take steps to confirm ownership of your email address or financial instruments, ordering a credit report or verifying your Information against third party databases or through other sources.
4. Termination, Suspensions or Limiting Access
Grounds for Termination or Suspension
FinXP may terminate, suspend or limit your access to the Go Zazoo Portal or Payment Account and the usage of other services and functions on reasonable grounds relating to:
- The security of the Go Zazoo and/or FinXP Portal;
- The suspected unauthorized and/or fraudulent use of the Go Zazoo Portal, FinXP Portal or Payment Account.
Notice and Restoration
If FinXP terminates, suspends or limits access to your Account, FinXP will provide you with notice of its actions, and the opportunity to request restoration of access if, in FinXP's sole discretion, FinXP deems it appropriate.
5. Closing Your Account
You may close your Online Payment Account at any time by informing FinXP of your request. Go Zazoo will forward this request to FinXP, who will only accept such instruction from the Authorized Person linked to the Payment Account. Upon the closure of the Online Payment Account, FinXP will cancel all pending transactions. You must withdraw your balance prior to closing your Account.
6. Channel Terms
Agreement to Channel Terms
This Agreement governs your use of the Payment Services Channels and by using these Services Channels you agree to be bound by them.
Authorized Use Only
These Alternative Delivery Channels are for the sole use of authorized FinXP customers. All activities are monitored and recorded. Unauthorized use of any of these Alternative Delivery Channels could lead to legal action being taken by FinXP.
Transaction Limits
Furthermore, unless otherwise notified to you from time to time, financial transactions are subject to the following limits:
Standard Transaction Limits
Corporate (Non-Personal)
- €15,000 Per operation
- €15,000 Per day
- €50,000 Per Month
Personal (Non-Corporate)
- €1,000 Per operation
- €2,000 Per day
- €5,000 Per Month
7. Charges
Account Opening Fee
You agree to pay the sign-up – non-refundable – application fee, which is payable once FinXP confirms that your application has been accepted and the account is opened. The present standard opening account fee is €1,500.00 unless otherwise agreed.
Service Fees and Charges
In addition, you agree to pay any service fees, commissions, and charges for use of the payment services. Such fees, commissions and charges are detailed in FinXP's Tariff of Charges and are also sent to you once the account is opened.
8. Refusal or Termination of Instructions
Grounds for Refusal
Your instructions to effect a payment may be refused or terminated by FinXP for a valid reason, including but not limited to:
- if you do not have available funds to make the payment;
- the payment instruction is invalid, not clear or you have not provided FinXP with the correct details and information;
- there is a legal requirement or court or other authority that tells FinXP to act that way;
- FinXP reasonably believes you or someone else has used or is using or obtaining, or may use or obtain a service or money illegally or fraudulently;
- Breach this Agreement, the Terms and Conditions or any other Policy that you have agreed to with FinXP;
- Provide false, inaccurate or misleading information;
- Engage in potentially fraudulent or suspicious activity and/or transactions.
9. Liability
Service Limitations
FinXP will endeavour to give a complete service at all times. However, to the fullest extent permitted by law, and except to the extent that loss or damage is caused directly by FinXP's gross negligence or wilful misconduct, FinXP shall not be liable to you for any loss or damage that you may suffer as a result of your use of the Payment Services.
Excluded Damages
FinXP, its subsidiaries and affiliates, its officers, directors, agents, joint ventures, or employees shall not be liable for any direct or indirect loss of profit, goodwill, business or anticipated savings nor for any indirect or consequential loss or damage.
10. Confidentiality and Data Protection
Data Processing Purposes
In terms of the Data Protection Act (Chapter 440 of the Laws of Malta), FinXP will process any data which you give FinXP for the following purposes:
- To provide the use of the Payment Services;
- To manage your Account(s);
- To give you statements and provide its products and services;
- For internal assessment and analysis;
- For the detection and prevention of fraud and other criminal activity;
- To develop and improve FinXP's products and services.
11. Queries or Complaints
Queries or complaints regarding any transaction carried out through the Payment Services should be discussed with FinXP. 12. Intellectual Property
The Zazoo application and the Website and all intellectual property rights contained therein are owned, or licensed by us (Go Zazoo). Go Zazoo Ltd's intellectual property include all logos related to the Zazoo Services.
13. Governing Law
Maltese law governs this Important Information and these Terms and Conditions. The Courts of Malta shall have non-exclusive jurisdiction over all claims or disputes arising in relation to these Terms.
